Job Description
The Paralegal, Contracts will support the legal contracts team in a fast-paced, high-growth healthcare technology environment. This position shall manage the company’s contracts with business partners and vendors. This position drafts and negotiates a variety of contracts and supports the development of resources, including templates, negotiation guides, and training materials.
RESPONSIBILITIES
- Manage incoming contract requests, reviewing and processing all agreements
- File, manage, and track executed agreements within Guardant’s contract management system (CMS) repository
- Support and maintain utilization of the CMS; work with external vendors on the implementation of process improvements
- Prepare summary reports and dashboards as requested
- Provide training on contracts process, including new hire, ad-hoc training, lunch & learn
- Draft and redline agreements, including non-disclosure agreements, consulting agreements, SaaS agreements, master services agreements, laboratory services agreements, statements of work, change orders, amendments, and purchase orders
- Identify and implement for the legal team efficiencies, scalability, and consistency through the use of technology
- Partner with members of the Commercial Legal team to facilitate efficient and productive workflow and respond to the legal and business needs of the organization
- Establish positive and productive relationships with contract requestor(s), internal stakeholders, and senior leadership involved in the contract process
- Assist the legal team on a variety of tasks, projects, processes, and initiatives, as requested
- Provide a high-quality service level to all internal and external customers ensuring accuracy, efficiency, and interpretations of contract language, as needed
Qualifications
- A minimum of 1 year of experience, preferably working directly with contract law.
- Paralegal certification preferred
- Bachelor’s degree, Associate’s degree, or certificate program in paralegal studies or equivalent relevant work experience required
- Experience with the in-house corporate legal department is a plus
- Must have the ability to read, analyze and interpret legal documents and to effectively present information to business partners and management
- Must be able to work independently and use judgment, within defined practices and policies, regarding contractual matters
- Must have expertise with legal contracts and documents
- Demonstrated ability to work and communicate effectively
- Must have a thorough working knowledge of computer software, including word processing, email, and database programs
- Understands key business drivers and uses this understanding to accomplish work
- Has a strong understanding of processes, procedures, and systems used to accomplish the work and recognizes the downstream impact on other functional areas
- Proficient with tools and processes that support work conducted by functional area
- Ability to work as part of a team
- Strong communication, problem-solving, and analytical thinking skills
- Detail oriented yet can see a broader picture for department and organization
- Ability to meet multiple deadlines, with a high degree of accuracy and efficiency
- Strong project management skills
- Demonstrate ability to interact in a collaborative manner and at a professional level with clients at all levels throughout the organization
- Excellent organizational skills required
- Demonstrate a positive attitude, the ability to work with others, be self-motivated requiring limited supervision, and a desire to learn
